Terms of Service
Effective date: July 21, 2026 · Last updated: July 21, 2026
These Terms of Service (the "Terms") govern your access to and use of the Velo platform, including our websites, APIs, agent runtime, connectors, and related services (collectively, the "Service"), operated by Velo ("Velo", "we", "us", or "our"). By accessing or using the Service, or by authorizing Velo to connect to a third-party service on your behalf, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Velo is a multi-tenant platform that provisions and runs autonomous software agents. These agents connect to third-party developer and collaboration tools (for example GitHub, Slack, Jira, and Linear) that you authorize, and perform tasks on your behalf — such as reading and writing code, responding to messages, managing issues, and reacting to events. We may add, modify, or remove features of the Service at any time.
2. Accounts & organizations
- You must provide accurate account information and keep it current.
- The Service is organized around organizations (tenants). Data, credentials, and agents belong to the organization, and administrators control member access. You are responsible for the acts of users within your organization.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- You must be at least the age of majority in your jurisdiction to use the Service.
3. Connected services
The Service lets you connect third-party accounts through OAuth or API keys (each a "Connected Service"). By connecting a service, you authorize Velo to access, store, and act on data from that service within the scopes you grant, in order to operate agents on your behalf. You represent that you have the right to grant this access and that doing so does not violate any agreement with the third-party provider. You may revoke a connection at any time through the Service or the third party's settings; revocation may limit or disable related agents.
4. Agents & automated actions
Agents act autonomously based on the instructions, configuration, triggers, and schedules you define. Actions taken by an agent using your granted credentials are attributed to you and your organization. You are responsible for:
- Reviewing agent configuration, permissions, and the scopes you grant.
- The consequences of actions your agents take in Connected Services (including code changes, messages, and issue updates).
- Ensuring agent behavior complies with your own policies and applicable law.
Agents are powered by large language models and are non-deterministic. Output may be inaccurate, incomplete, or unexpected. Do not rely on the Service as the sole control over critical systems.
5. Acceptable use
You agree not to, and not to permit others to:
- Use the Service to violate any law or third party's rights.
- Access data or systems you are not authorized to access, or exceed granted scopes.
- Reverse engineer, interfere with, or disrupt the Service or its infrastructure.
- Attempt to defeat tenancy isolation, rate limits, or security controls.
- Use the Service to build a competing product by copying it, or to develop malware, spam, or automated abuse.
- Upload unlawful, infringing, or malicious content, or use the Service to process such content.
6. Your data
As between you and Velo, you retain all rights to the data you or your agents submit to or generate through the Service, including source code, messages, and configuration ("Customer Data"). You grant Velo a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to operate and improve the Service and to perform the tasks you request. Our handling of personal data is described in our Privacy Policy.
7. AI processing
To operate agents, the Service transmits prompts, context, and relevant Customer Data to third-party model providers (such as Anthropic, directly or via Amazon Bedrock) configured for your organization. Your use of the Service is also subject to those providers' applicable terms. We do not use your Customer Data to train our own foundation models, and we configure providers so that your content is not used to train their models except as permitted by your provider settings.
8. Intellectual property
The Service, including its software, design, and documentation, is owned by Velo and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service. We reserve all rights not expressly granted. If you provide feedback, you grant us a perpetual, royalty-free license to use it.
9. Fees
If your plan is paid, you agree to pay the fees described in your order or plan. Fees are non-refundable except as required by law or expressly stated. We may change pricing on prospective notice. You are responsible for applicable taxes. Certain costs — such as model-provider usage under your own credentials — may be billed to you directly by those providers.
10. Third-party services
The Service integrates with and depends on third-party services that we do not control. We are not responsible for the availability, accuracy, or practices of those services, and their terms and policies apply to your use of them. Changes a third party makes may affect Service functionality.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AGENT OUTPUT WILL BE ACCURATE OR RELIABLE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
13. Indemnification
You will defend, indemnify, and hold harmless Velo from and against any claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, actions taken by your agents, or your breach of these Terms or applicable law.
14. Term & termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. On termination, your right to use the Service ends and we may delete Customer Data in accordance with our Privacy Policy and retention practices. Sections that by their nature should survive (including ownership, disclaimers, liability limits, and indemnification) will survive.
15. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which Velo is established, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
